1. Acceptance of Terms

By accessing and using the Grindstone Design website and services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Services

Grindstone Design provides web design, development, digital marketing, and related services. Specific terms for individual services may be outlined in separate service agreements.

• Email Marketing
• Website Maintenance and Support

3. Payment Terms

Payment terms for services will be outlined in individual service agreements or proposals. General payment terms include:

• Invoices are due upon receipt unless otherwise specified
• Late payments may incur interest charges
• Work may be suspended for accounts more than 30 days past due
• Client is responsible for all collection costs if legal action is required

4. Intellectual Property

Upon full payment, clients receive ownership of the custom work created specifically for their project. Grindstone Design retains the right to:

• Display work in portfolio and marketing materials
• Retain ownership of any proprietary methods, processes, or code libraries
• Reuse non-unique design elements in future projects

5. Client Responsibilities

The client agrees to:

• Provide necessary materials, content, and feedback in a timely manner
• Ensure all provided materials do not infringe on copyrights or trademarks
• Obtain necessary licenses for any third-party materials
• Review and approve work within specified timeframes
• Maintain backups of their website and data

6. Warranties and Limitations

Grindstone Design warrants that services will be performed in a professional manner. However:

• We do not guarantee specific rankings, traffic, or business results
• Services are provided "as is" without warranty of merchantability or fitness
• We are not liable for third-party service interruptions or failures
• Total liability shall not exceed the amount paid for services

7. Confidentiality

Both parties agree to keep confidential any proprietary information received during the course of the business relationship. This includes business strategies, customer lists, pricing information, and technical data.

8. Termination

Either party may terminate services with 30 days written notice. Upon termination:

• Client must pay for all work completed to date
• Grindstone Design will provide files for completed and paid work
• Ongoing services (hosting, maintenance) will cease after notice period

9. Indemnification

Client agrees to indemnify and hold harmless Grindstone Design from any claims, losses, or damages arising from client's use of deliverables, content provided by client, or breach of these terms.

10. Dispute Resolution

Any disputes arising from these terms or services provided shall be resolved through binding arbitration in Jacksonville, Florida. The prevailing party shall be entitled to recover reasonable attorney's fees.

11. Governing Law

These terms shall be governed by the laws of the State of Florida, without regard to its conflict of law provisions.

12. Changes to Terms

Grindstone Design reserves the right to modify these terms at any time. Changes will be effective immediately upon posting to the website. Continued use of services constitutes acceptance of modified terms.
