This website is run by Grindstone Design, based in Jacksonville, Florida. By using it or our services, you agree to these terms. If you don’t agree, please don’t use the site or our services.

Use it lawfully. Don’t submit spam or false information through the forms, try to break the site, or scrape it in bulk.

The writing, design, photography and code on this site belong to Grindstone Design. Client logos, names and work samples belong to those clients and appear with their permission.

You’re welcome to share links and quote short passages with credit. Please don’t republish articles whole or reuse our designs as your own.

Audits are an honest review based on what we can see at the time. They aren’t a guarantee of rankings, traffic or sales. You can act on them with us, with someone else, or not at all.

Quotes are valid for 30 days. Nothing is billed and no work starts until we both sign a project agreement.

Paid work is covered by its own written agreement, which sets out scope, price, timeline and ownership. Where that agreement and these terms disagree, the agreement wins. The sections below apply to every project unless the agreement says otherwise.

Payment terms are set out in each project agreement or proposal. General payment terms:

• Invoices are due upon receipt unless otherwise specified.
• Late payments may incur interest charges.
• Work may be suspended for accounts more than 30 days past due.
• The client is responsible for all collection costs if legal action is required.

Upon full payment, clients receive ownership of the custom work created specifically for their project. Grindstone Design retains the right to:

• Display the work in its portfolio and marketing materials.
• Retain ownership of any proprietary methods, processes or code libraries.
• Reuse non-unique design elements in future projects.

The client agrees to:

• Provide necessary materials, content and feedback in a timely manner.
• Ensure all provided materials do not infringe on copyrights or trademarks.
• Obtain necessary licenses for any third-party materials.
• Review and approve work within the agreed timeframes.
• Maintain backups of their website and data.

Both parties agree to keep confidential any proprietary information received during the business relationship. This includes business strategies, customer lists, pricing information and technical data.

Either party may terminate services with 30 days’ written notice. Upon termination:

• The client pays for all work completed to date.
• Grindstone Design provides files for completed and paid work.
• Ongoing services, such as hosting and maintenance, end after the notice period.

We link to client sites and outside resources. We don’t control them and aren’t responsible for what they say or how they handle your data.

We work to keep the site accurate and online, but it’s provided as is. Articles are general guidance, not legal, tax or financial advice.

Grindstone Design warrants that services will be performed in a professional manner. However:

• We do not guarantee specific rankings, traffic or business results.
• Services are provided “as is,” without warranty of merchantability or fitness for a particular purpose.
• We are not liable for third-party service interruptions or failures.
• Our total liability shall not exceed the amount paid for the services.

To the extent the law allows, Grindstone Design isn’t liable for losses that come from using this site or relying on its content.

The client agrees to indemnify and hold harmless Grindstone Design from any claims, losses or damages arising from the client’s use of deliverables, content the client provides, or breach of these terms.

Any disputes arising from these terms or the services provided shall be resolved through binding arbitration in Jacksonville, Florida. The prevailing party shall be entitled to recover reasonable attorney’s fees.

These terms are governed by the laws of the State of Florida, without regard to its conflict of law provisions.
